PURPOSE STATEMENT

This role will be the leader of Rich’s M&A/Divestiture process. This will include strategy development with Business Units (BU’s), target identification/pipeline development, deal evaluation, valuation analysis, due diligence governance, negotiation, deal closing and integration planning.  In collaboration with Rich’s functional groups and business units, this role will also lead the evaluation and negotiation of potential M&As and transaction execution. The position is open to a remote candidate. 
 

KEY ACCOUNTABILITIES/OUTCOMES

Strategy/Targeting - Identify and assess strategic fit of target companies’ vs company strategy
•    Work with BU’s on development and refinement of M&A Strategy and targets (BU’s own strategy)
•    Evaluate acquisition, JV, partnership, divestiture opportunities - review of deal teasers and CIM’s against acquisition/corporate strategy
•    Project the effect of an acquisition on current and future business
•    Align acquisition strategy with corporate strategy
•    Develop evaluation criteria to target and assess potential mergers and acquisitions
•    Stay up to date of industry trends, consumer preferences, competitor actions that present risks and opportunities.  As well as company and industry research and analysis.
•    Prepare reports for executive team and Board review

 

Sourcing/Cultivating - Build an acquisition target pipeline of companies that meet our product portfolio of today and future
•    Networking with internal and external parties
•    Relationship building with internal leaders – Region and division leadership – gain insight on business objectives and challenges to understand the types of deals that will likely gain traction
•    Relationship building with external parties – Investment bankers, PE Firms, Deal Advisors, Target company ownership / leadership
•    Tracking/monitoring of PE firm deal cycles

 

Analysis/Modeling - Engage with cross-functional leadership throughout the transaction process assisting in the development of both the business case rationale and integration action plans.
•    Present findings to executive team with valuation scenarios
•    Translate business rationale into executive presentation materials
•    Partner internally to represent a forecast of the financial impact of the potential acquisition (revenue, expenses, synergies (supply chain and/or SGA), etc.)
•    Financial evaluation and modelling of potential investment opportunities (comparable analysis, precedent transaction analysis, discounted cash flow analysis, financial impact analysis, etc.)
•    Determine risks and issues associated with acquisition integration

 

Negotiations/Agreements
•    Responsible for deal negotiation with partnership with Executive Team.  Plans and implements a negotiation strategy and leads the negotiations with stakeholders.  Collaboration with external and internal legal teams on purchase agreement issues, negotiation.   
•    Due Diligence / Deal Closing / Integration – Relationship building with sellers.  Identification of deal issues and work with internal teams (legal, operations, finance, sales/marketing, HR, etc.) to resolve.  Due Diligence governance and integration planning and partnering with Due Diligence team to ensure smooth transition to execution team.

KNOWLEDGE/SKILLS/EXPERIENCE

  • ​​​​​​Bachelor’s degree in finance, accounting, or related field; MBA strongly preferred
  • Minimum of 10 years’ experience with proven success in corporate business development, investment banking and/or private equity
  • Proven project management, organizational skills
  • Industry knowledge (Retail, Foodservice, etc.); both competition and customers, strongly preferred
  • Strong analytical, quantitative skills
  • Solid communication skills (written and verbal) – including the ability to effectively communicate to senior leadership
  • Ability to interface with senior leadership and provide compelling recommendations while maintaining a high level of confidentiality
  • Ability to travel domestically and internationally as needed, up to 20%
